Base Social Inc. Member Agreement
This Member Agreement ("Agreement") is entered into by and between Base Social Inc. ("Base Social") and its Members. By applying to become or becoming a Member of Base Social Inc., you agree to the following terms and conditions:
1. Membership Acceptance and Cancellation
1.1. Base Social Inc. reserves the right to accept or reject any membership application at its sole discretion.
1.2. Base Social Inc. reserves the right to cancel or suspend a Member's subscription at any time and for any reason without providing prior notice or explanation. Members may cancel at any time with one month’s notice. Members may pause for up to four months in a given calendar year without penalty.
2. Member Responsibilities
2.1. Members are expected to adhere to all guidelines and rules established by Base Social Inc.
2.2. Members shall conduct themselves respectfully and refrain from engaging in any form of harassment, discrimination, or disruptive behavior towards other Members, staff, or visitors.
3. Prohibited Conduct
The following activities and behaviors are strictly prohibited at Base Social Inc. and may result in immediate termination of Membership:
3.1. Sexual harassment, misconduct, or any form of unwelcome advances or behavior.
3.2. Violation of Base Social Inc.'s guidelines or code of conduct.
3.3. Theft or vandalism of property belonging to Base Social Inc., its Members, or visitors.
3.4. Possession, use, or distribution of illegal substances on the premises.
3.5. Disruptive or unsafe conduct that jeopardizes the safety and well-being of others.
3.6. Any other conduct deemed inappropriate or harmful by Base Social Inc. in its sole discretion.
4. Release of Liability and Indemnification
4.1. Member acknowledges that participation in Base Social Inc. activities may involve inherent risks, and Member assumes full responsibility for their actions and any consequences thereof.
4.2. Member hereby releases and discharges Base Social Inc., its officers, employees, and agents from any liability, claims, demands, actions, or causes of action arising out of or related to any injury, loss, or damage suffered by Member or others while participating in Base Social Inc. activities.
4.3. Member agrees to indemnify and hold Base Social Inc. harmless from any claims, liabilities, damages, or expenses (including attorney's fees) incurred as a result of Member's actions or behavior.
5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any legal action or proceeding arising under or in connection with this Agreement shall be brought exclusively in the state or federal courts located within the State of Florida, and Member consents to the personal jurisdiction of such courts.
6. Entire Agreement
This Agreement constitutes the entire understanding between Base Social Inc. and Members and supersedes all prior agreements, understandings, representations, and warranties.

This Privacy Notice is designed to help you understand how we collect, use, share and safeguard the information you provide to us and to assist you in making informed decisions when using our Services. We collect your first and last name, email of our users if you contact us.
We have a legitimate interest in contacting our customers and communicating with them in relation to the Services.
Member Account Information
We collect your first and last name, mailing address, phone number, age, gender, food allergies, family and marital status, email address, and username if you download and set up an account through the Services.
We will also collect any additional information you share with us by completing our interests and hobby questionnaire(s) when you sign up to become a member.
We have a legitimate interest in contacting our customers and club members and communicating with them in relation to the Services.
The collection of this data is also based on your consent so that we can match members and provide more customized experiences.
If you opt-in to receive text messages from us, we may send you a text message that contains promotional information or invitation to a future event that may be of interest to you. You can opt-out of receiving future text messages by replying "STOP."
Your name and email address may be used to send you information about our Company, upcoming events, special offers, and newsletters that may be of interest to you. You may select the “unsubscribe” button at the bottom of the email to stop receiving these emails. If you unsubscribe from the promotional emails described above, you will still receive emails with event confirmations.

Surveys
When you participate in a survey, we collect information that you provide through the survey. The information we collect may include your dietary restrictions when you participate in one of our hosted events, topics of interest and family status that may be useful for group matching purposes, your availability to attend a particular event, your opinions and product experience satisfaction.
If the survey is provided by a third-party service provider, the third party’s privacy policy applies to the collection, use, and disclosure of your information.
We have a legitimate interest in understanding your preferences and opinions and collecting information relevant to our organization and the Services.
Our Services are not designed for children under 13, and we do not intentionally or knowingly collect Personal Information from users who are under the age of 13 or from other websites or services directed at children. If we discover that a child under 13 has provided us with Personal Information, we will delete such information.

If (i) Base is acquired by, merges with, or receives investment from another company or (ii) if any of the Base’s assets are or may be transferred to another company, whether as part of a bankruptcy or insolvency proceeding or otherwise, we may transfer the information we have collected from you to the other company. As part of the business transfer process, we may share certain of your Personal Information with lenders, auditors, attorneys and consultants.

We reserve the right to by placing a prominent notice on the Website and App. Significant changes will go into effect thirty (30) days following such notification. Base is located in the United States. The Services are hosted in, provided from the United States, and intended for those that reside in the United States. Personal information that you submit through the Services may be transferred outside of the jurisdiction in which you live. We also store Personal Information locally on the devices you use to access the Services. Your Personal Information may be transferred to other jurisdictions that do not have the same data protection laws as the jurisdiction in which you initially provided the information. Nevada.

Vermont.
In accordance with Vermont law, we will not share information we collect about you with companies outside of Base except as described herein, or otherwise required or permitted by law.
Virginia.
This Section is only applicable to you if you are a resident of the state of Virginia (“Virginia Residents”). If you have a complaint, first contact us at privacy@joinbase.club . We will respond within 45 days after receipt of your request, and such time may be extended for an additional 45 days if it is reasonably necessary. We will notify you of any extension within the initial 45-day period. If you are not satisfied with our responses, you have the right to appeal. We will respond within 60 days of receipt of your appeal. If you still have an unresolved complaint, please direct your complaint to the Virginia Attorney General at service@oag.state.va.us or call (804)786-2071.
California.
At this time, California Privacy laws (California Consumer Privacy Act, California Privacy Rights Act) do not apply to us, but we will still protect your Personal Information as outlined in this Privacy Notice. If you feel this is incorrect, please contact us at privacy@joinbase.club .
